Tuy nhiên, để có thể sử dụng dịch vụ, khách hàng cần phải thỏa thuận với bên cung ứng dịch vụ thông qua hợp đồng dịch vụ. Vậy hợp đồng dịch vụ bằng tiếng Anh là gì? Đối với các dịch vụ được cung ứng bởi thương nhân nước ngoài, làm thế nào để soạn thảo hợp đồng dịch vụ bằng tiếng anh.

Khái niệm hợp đồng dịch vụ

Điều 513 Bộ luật dân sự quy định “Hợp đồng dịch vụ là sự thỏa thuận giữa các bên, theo đó bên cung ứng dịch vụ thực hiện công việc cho bên sử dụng dịch vụ, bên sử dụng dịch vụ phải trả tiền dịch vụ cho bên cung ứng dịch vụ”.

Đặc điểm của hợp đồng dịch vụ

– Đối tượng của hợp đồng dịch vụ là công việc có thể thực hiện được, không vi phạm điều cấm của luật, không trái đạo đức xã hội.

– Chủ thể của hợp đồng dịch vụ là bên cung ứng dịch vụ và bên sử dụng dịch vụ. Các bên trong hợp đồng có thể là cá nhân hoặc pháp nhân.

– Quyền và nghĩa vụ của các bên trong hợp đồng:

+ Đối với bên sử dụng dịch vụ:

Bên sử dụng dịch vụ có quyền:

Yêu cầu bên cung ứng dịch vụ thực hiện công việc theo đúng chất lượng, số lượng, thời hạn, địa điểm và thỏa thuận khác.

 Trường hợp bên cung ứng dịch vụ vi phạm nghiêm trọng nghĩa vụ thì bên sử dụng dịch vụ có quyền đơn phương chấm dứt thực hiện hợp đồng và yêu cầu bồi thường thiệt hại.

Bên sử dụng dịch vụ có nghĩa vụ:

Cung cấp cho bên cung ứng dịch vụ thông tin, tài liệu và các phương tiện cần thiết để thực hiện công việc, nếu có thỏa thuận hoặc việc thực hiện công việc đòi hỏi.

 Trả tiền dịch vụ cho bên cung ứng dịch vụ theo thỏa thuận.

+ Đối với bên cung ứng dịch vụ:

Bên cung ứng dịch vụ có quyền

Yêu cầu bên sử dụng dịch vụ cung cấp thông tin, tài liệu và phương tiện để thực hiện công việc.

Được thay đổi điều kiện dịch vụ vì lợi ích của bên sử dụng dịch vụ mà không nhất thiết phải chờ ý kiến của bên sử dụng dịch vụ, nếu việc chờ ý kiến sẽ gây thiệt hại cho bên sử dụng dịch vụ, nhưng phải báo ngay cho bên sử dụng dịch vụ.

Yêu cầu bên sử dụng dịch vụ trả tiền dịch vụ.

Bên cung ứng dịch vụ có nghĩa vụ:

hực hiện công việc đúng chất lượng, số lượng, thời hạn, địa điểm và thỏa thuận khác.

Không được giao cho người khác thực hiện thay công việc nếu không có sự đồng ý của bên sử dụng dịch vụ.

Bảo quản và phải giao lại cho bên sử dụng dịch vụ tài liệu và phương tiện được giao sau khi hoàn thành công việc.

Báo ngay cho bên sử dụng dịch vụ về việc thông tin, tài liệu không đầy đủ, phương tiện không bảo đảm chất lượng để hoàn thành công việc.

Giữ bí mật thông tin mà mình biết được trong thời gian thực hiện công việc, nếu có thỏa thuận hoặc pháp luật có quy định.

Bồi thường thiệt hại cho bên sử dụng dịch vụ, nếu làm mất, hư hỏng tài liệu, phương tiện được giao hoặc tiết lộ bí mật thông tin.

– Hợp đồng dịch vụ có thể được lập dưới hình thức lời nói, hành vi, văn bản hoặc các hình thức khác có giá trị tương đương.

Article 3. Rights and obligations of Party A :

3.1. Party A has the rights to:

a) Request Party B to perform the agreed legal services with enthusiasm, responsibility and ensure the legitimate interests of Party A;

b) Unilaterally terminate the contract if it considers that the performance of the work does not bring benefits to Party A. However, Party A must notify Party B in writing 15 days in advance and must pay Party B the remuneration and expenses agreed in Article 2 of this Contract.

c) Unilaterally terminate the contract and request Party B to compensate for the actual damage if Party B seriously violates the agreed obligations.

3.2. Party A is obliged to:

a) Ensure that information and documents provided by Party A to Party B are true;

b) Promptly provide necessary information, documents and means for Party B to perform the work.

c) Pay remuneration and expenses to Party B as agreed in Article 2 of this Contract.

d) Pay remuneration and expenses which are agreed in Article 2 of this Contract and compensate for any actual damage to Party B if Party A unilaterally terminates the contract illegally.

Article 4. Rights and obligations of Party B :

4.1. Rights of Party B:

a) Request Party A to provide necessary information, documents, evidence and means to perform the job.

b) Request Party A to pay agreed remuneration and expenses.

c) Request Party A to pay remuneration, expenses and compensate for actual damage caused to Party B if Party A unilaterally terminates the contract illegally.

4.2. Obligations of Party B:

a) Perform the agreed work with enthusiasm and responsibility to ensure the legitimate rights of Party A.

b) Not to assign other organizations or individuals to perform the work without Party A.’s written consent.

c) Promptly notify Party A of all matters related to the job performance. This announcement is done by phone or direct speech. The notice in writing, fax, email from the email address of Party B to Party A is only made if Party A requests in writing, fax or email from the fax machine number, email address that Party A provides to Party B in this contract.

d) Keep secret of information, documents, evidence or events related to Party A that Party B knows during the performance of the work. Such information, documents, evidences and events may only be published with the consent in writing, fax or email from the valid fax numbers, email addresses of Party A.

d) To compensate Party A for damage if the documents are lost or damaged or information is disclosed contrary to the agreement.

e) To compensate for damage to Party A if it unilaterally terminates the contract illegally.
